3. Accuracy of Billing, Account, and Shipping Information

We reserve the right to refuse, limit, or cancel any order you place with us. These restrictions may include orders placed by or under the same customer account, the same credit card profile, or orders that share identical billing and/or heavy freight shipping addresses.

• Fraud and Risk Mitigation: In the event that our fraud-screening systems necessitate a change to or cancellation of an order, we will attempt to notify you immediately by contacting the primary email address and/or billing telephone number provided at checkout.

• Accurate Delivery Details: You agree to provide current, complete, and accurate purchase, company account, and freight logistics information for all orders placed on our Site. You agree to promptly update your account metadata—including email addresses, contact phone numbers, and payment details—so that we can complete your transactions and coordinate your commercial transport delivery window seamlessly.

4. Third-Party Supply & Manufacturer Warranties

BGA COMMERCE LLC operates as an authorized distributor for premium automotive and industrial equipment manufacturers.

• Certain products showcased on the Site are dropshipped directly from specialized third-party factory warehouses. We are not legally liable for independent manufacturing defects, unexpected production delays, raw materials shortages, or supply-chain backorders held by our partner brands.

• All technical product support, replacement parts procurement, and structural components claims are governed strictly by the specific brand manufacturer’s warranty framework. BGA COMMERCE LLC will actively assist in facilitating your warranty documentation and routing updates directly to the factory floor, but does not provide independent structural or mechanical warranties.

5. Industrial Freight & Title of Goods

For all heavy machinery and tools shipped via LTL (Less-Than-Truckload) Freight, the legal title and ownership of the goods transfer to the buyer the moment the commercial carrier signs for the shipment at the manufacturer's loading dock.

• Freight Tracking and Claims: Any damage, component loss, or crating punctures incurred during transit must be noted explicitly on the carrier's Bill of Lading (BOL) at the time of delivery to protect your insurance coverage.

• Return and Cancellation Deductions: All authorized returns or canceled freight shipments that have already left a factory loading dock are governed by our standard Return & Refund Policy. Final refunds will be subject to mandatory deductions including outbound freight tracking costs, return transport freight costs, a 3% gateway handling fee, and manufacturer restocking fees ranging between 15% and 25%.

6. Prohibited Uses

In addition to other prohibitions set forth throughout these Terms of Service, you are strictly prohibited from using the Site or its underlying digital content:

• For any unlawful purpose or to solicit others to perform unlawful acts.

• To infringe upon, copy, or violate our intellectual property rights or the proprietary brand media owned by our manufacturing partners.

• To submit false, inaccurate, or misleading logistics information regarding commercial delivery classifications, residential properties, or liftgate asset requirements.

• To upload or transmit security viruses, malicious software injections, or harvest catalog data using unauthorized automated parsing or scraping tools.

7. Governing Law (State of Wyoming)

These Terms of Service and any separate transactional agreements whereby we provide you storefront Services shall be governed by, interpreted, and enforced in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
